These Services Terms and Conditions set out the terms on which Harbinger Solutions provides professional web design and digital strategy services. By accepting a proposal, quote, or commencing work with Harbinger Solutions, the client agrees to these terms.

1. About Harbinger Solutions

Harbinger Solutions is a South African sole proprietorship providing professional website design, digital strategy, and related services to businesses.

All services are provided on a custom, project-based or retainer basis and are tailored to each client’s specific requirements.

2. Scope of Services

2.1 Services may include, but are not limited to:

  • One-off website builds

  • Multi-page business websites

  • Strategy-led website projects

  • Ongoing retainers such as strategic growth and website care

2.2 The exact scope of services is defined in the written proposal or quote accepted by the client. Any work not expressly included is considered out of scope and may require a separate quote.

2.3 All services are provided on a best-effort professional basis and are not off-the-shelf products.

3. Pricing and Payments

3.1 Each service has a baseline price. Clients may request additional features, pages, or services, which will be quoted separately.

3.2 Payment terms are specified in the accepted proposal or quote and may include upfront or staged payments.

3.3 Work will not commence until the required initial payment has been received, unless agreed otherwise in writing.

3.4 Late payments may result in paused work until payment is brought up to date.

4. Client Responsibilities

4.1 The client agrees to:

  • Provide accurate and complete information, content, and materials required to deliver the services

  • Respond to feedback requests, approvals, and questions within reasonable timeframes

  • Review deliverables promptly and provide consolidated feedback

4.2 Delays caused by missing content, delayed feedback, or lack of approvals may affect timelines and delivery dates. Harbinger Solutions is not responsible for delays caused by the client.

4.3 The client confirms that they have the right to use all content, images, logos, and materials supplied and indemnifies Harbinger Solutions against any claims arising from their use.

5. Revisions and Approvals

5.1 Unless otherwise stated in writing:

  • Two revision rounds are included for the copy section

  • Two revision rounds are included for the design section

5.2 Revisions apply to refining the agreed scope and direction. Changes that introduce new requirements, pages, features, or strategy are considered out of scope and may incur additional costs.

5.3 Once final approval is given or the project moves to handover, further changes will be billed separately.

6. Timelines and Project Flow

6.1 Any timelines provided are estimates and depend on timely client input and approvals.

6.2 If a project is paused by the client for an extended period, Harbinger Solutions reserves the right to revise timelines, pricing, or scope before resuming work.

7. Subcontracting and Third Parties

7.1 Harbinger Solutions may outsource or subcontract certain aspects of the work where appropriate.

7.2 Harbinger Solutions remains responsible for the overall delivery of the services, but is not responsible for failures or delays caused by third-party platforms, hosting providers, plugins, or software.

8. Intellectual Property

8.1 Upon full payment of all amounts due, the client receives ownership of the final approved website deliverables produced specifically for them.

8.2 Harbinger Solutions retains ownership of:

  • Working files, drafts, concepts, and unused materials

  • Internal frameworks, processes, templates, and methodologies

8.3 Harbinger Solutions may display completed work in its portfolio, website, and marketing materials unless otherwise agreed in writing.

9. Results and No Guarantees

9.1 Harbinger Solutions does not guarantee specific results, including but not limited to:

  • Lead numbers

  • Search rankings

  • Revenue or conversions

9.2 Outcomes depend on many factors beyond the control of Harbinger Solutions, including market conditions, client offering, competition, and ongoing marketing activity.

10. Cancellations and Termination

10.1 Either party may terminate services by providing written notice.

10.2 If the client cancels a project after work has started:

  • Fees already paid are non-refundable

  • The client remains responsible for payment for work completed up to the cancellation date

10.3 For ongoing retainers, notice periods and termination terms are defined in the relevant agreement or proposal.

11. Limitation of Liability

11.1 Harbinger Solutions’ total liability for any claim arising from the services is limited to the total fees paid by the client for the specific services giving rise to the claim.

11.2 Harbinger Solutions is not liable for indirect, incidental, or consequential losses, including loss of profits, data, or business opportunities.

12. Confidentiality

12.1 Both parties agree to keep confidential information shared during the course of the project private, unless disclosure is required by law.

13. Consumer Protection Act

13.1 Where applicable, these terms are intended to comply with the Consumer Protection Act, 68 of 2008.

13.2 Because services are custom and commence on acceptance, refunds are limited once work has started.

14. Governing Law

14.1 These terms are governed by the laws of the Republic of South Africa.

15. Acceptance

15.1 Acceptance of a proposal, quote, or commencement of work constitutes acceptance of these Services Terms and Conditions.
